Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of the Rep Connect website, applications, and related services (collectively, the "Service") offered by Rep Connect Inc. or its affiliates ("we," "us," or "our"). By creating an account, subscribing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Accounts & eligibility

You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity under your account. We may refuse service, close accounts, or remove content that violates these Terms or applicable law.

3. Subscriptions, billing & cancellation

Paid access is offered on a subscription basis. Fees, billing cycles (e.g. monthly or annual), and taxes are presented at checkout and charged through our payment processor, Stripe. Subscriptions renew automatically until cancelled. You may cancel or manage your subscription through the Stripe Customer Billing Portal accessible from your account settings ("Manage billing"), subject to Stripe's and our configuration of that portal.

Refunds. Unless otherwise required by law or expressly stated at purchase, fees are non-refundable except at our sole discretion. If you dispute a charge, contact us first; chargebacks may result in suspension of access.

4. Platform role & third parties

The Service provides software to help reps and brands connect and manage commercial relationships. We are not a party to your contracts with other users, and we do not guarantee any particular business outcome, lead quality, or revenue. Deals, commissions, and payments between users are their own responsibility unless we expressly agree otherwise in writing.

5. Acceptable use

You will not: (a) misuse, interfere with, or probe the Service; (b) upload malware or attempt unauthorized access; (c) scrape or harvest data in violation of these Terms or technical limits; (d) use the Service for unlawful discrimination, harassment, or fraud; or (e) infringe others' intellectual property or privacy rights. We may investigate and suspend or terminate access for violations.

6. Intellectual property

The Service, including its design, text, graphics, and software, is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription in accordance with these Terms. You retain ownership of content you submit; you grant us a license to host, display, and process that content as needed to operate the Service.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.

9. Indemnity

You will defend, indemnify, and hold harmless Rep Connect and its affiliates from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of third-party rights.

10. Changes

We may modify these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. Continued use after changes constitutes acceptance. If you do not agree, you must stop using the Service and cancel your subscription.

11. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer protection laws in your jurisdiction require otherwise. You agree that courts in Delaware (or another forum you and we specify in a future version of these Terms) have exclusive jurisdiction, subject to mandatory arbitration or small-claims provisions where applicable law requires.

Note: Jurisdiction and dispute resolution clauses should be tailored by counsel for your entity and customer base.
